1. Terms and conditions 

The HPass platform (my.hpass.org) (the “Platform”), together with associated standards, products, services, and tools (“HPass”) is owned and provided by the Humanitarian Leadership Academy (Academy), which is part of the Save the Children Fund, a charity registered in England and Wales (213890) and Scotland (SC039570), and a registered company limited by guarantee in England and Wales (178159). Registered office 1 St John’s Lane, London, EC1M 4AR. 

Users of HPass can access the Platform via the web Platform which is linked to these terms and conditions (“Platform”). 

Your use of HPass indicates your agreement to these Terms and Conditions (“Terms”). 

2. Purpose 

The overall purpose of HPass is to establish, support, and share: skills, experience, and learning by using recognised professional development frameworks. Its mission is to better enable people and organisations to assist communities affected by or vulnerable to crises by facilitating their access to quality learning and open recognition of skills and experience based on professional standards. 

HPass is a cloud-based platform where: 

  • Earners of digital badges (“Open Badges”) can receive, share, manage and publish their badges and engage in online social activity; 
  • Learning and assessment providers can promote their services and access a badge factory for the creation and issuance of badges by reference to the HPass quality standards, and become HPass Approved Providers; and 
  • Organisations operating in humanitarian contexts can access information relating to competency-based approaches and find candidates for employment or volunteering roles. 

The Terms apply to the users of HPass (“Users”), and the information they provide to the Platform (“Submissions”). Users may be individuals who may carry out work or volunteer in humanitarian contexts (“Individuals”); or agents of: Humanitarian Organisations operating in humanitarian contexts (“Humanitarian Organisations”), or learning and assessment providers which create and issue badges (“Providers”). 

3. Ethical behaviour 

You are expected to behave civilly, and your contributions to/on the Platform should be both relevant and tasteful. 

You should not behave in a way that would violate any applicable laws, or that would cause harm of any kind to HPass or its users. 

All Users are expected to observe the humanitarian principles and adhere to standards of professional conduct, both in the course of using the HPass platform, but also more generally in their work. 

The humanitarian principles are: 

  • Humanity 
  • Impartiality 
  • Neutrality 
  • Independence 

The standards of professional conduct are: 

  • Handling power responsibly 
  • Supporting the agency of others 
  • Having high standards for myself and others 
  • Being conscious of the commitments I make 
  • Improving my own capacities and those of people around me 
  • Respecting others and promoting ethical behavior 
  • Avoiding conflicts of interest 
  • Avoiding bias 
  • Promoting awareness and understanding of principled humanitarian action

The Academy reserves the right to suspend or terminate access to the HPass Platform to anyone who is alleged to have violated the humanitarian principles or the standards of professional conduct referred to above. 

Finally, the Academy takes no responsibility for your contributions or those of any other user. 

4. Making the platform work 

We have done everything we can to make the HPass platform a pleasure to use, but we cannot promise that everything will always work. There might be problems with particular browsers or operating systems, or there might just be a technical glitch. Whenever we become aware of problems that are the platform difficult to use, we will work to fix them. 

5. INDIVIDUALS

6. Use of Platform 

The purpose of the Platform with regard to Users who are Individuals is to enable Users to earn and display badges and publish information (“User Submissions”) on HPass in order to effectively engage with Humanitarian Organisations, other Users, and Providers such that all participants can effectively manage skills, availability, and other resources necessary to provide effective humanitarian action around the world. 

Use of the Platform does not create an employment relationship between Users and any other participant on HPass. 

7. Electronic Signatures 

By using the Platform and providing User Submissions, you agree to transact and sign instruments electronically through the Platform. You agree that your electronic signature is the legal equivalent of your manual signature. You further agree that your use of a key pad, mouse, or other device to select an item, button, icon or similar act/action, constitutes your signature as if actually signed by you in writing. You also agree that no certification authority or other third-party verification is necessary to validate your electronic signature, and the lack of such certification or third-party verification will not in any way affect the enforceability of your electronic signature. 

After authorising the use of your electronic signature, you may still withdraw your consent. To do so, you must contact the Academy for their withdrawal procedures and to understand any consequences or fees which may apply. 

8. Submissions 

By making User Submissions, you acknowledge that you have read and understand the Terms of the HPass Privacy Policy. 

You warrant that: (a) you have the right and authority to provide any User Submissions; (b) you have only disclosed information that is true, accurate and not misleading (including by omission) and nothing you have submitted is known by you to be false, inaccurate, or misleading; (c) you have a legal right to live and work in the jurisdictions in which you indicate you are available for providing humanitarian aid. If that legal right is limited in time, you have disclosed when it expires; (d) you are the individual who the User Submissions relate to and that you have obtained permission from each person who appears and/or is referred to in your Submissions; (e) your User Submissions would not infringe any legal obligation that you may have to any third party, including under laws related to copyright, trademark, patent, trade secret, confidentiality, notice period, restrictive covenant, non-competition or other intellectual property rights, privacy rights, or any other legal or moral rights of any third party; (f) you were not, and will not, be compensated or granted any consideration by any third party for entering your User Submission or taking up any offer of employment with an Humanitarian Organisation, and any salary or wages paid to you upon taking up any offer of employment will not be remitted to any third party (save in respect of any fees paid or payable for learning or assessment opportunities); and (g) there is no reason that you cannot perform all duties that you are applying for in a manner that is safe and not injurious to you or any other person, that has not been disclosed fully in your User Submission, and you must immediately disclose any such reason should one arise. 

You agree that you will neither use the Platform in a manner, nor provide any User Submission, that: (a) is defamatory, derogatory, degrading or harassing of another or constitutes a personal attack; (b) invades another’s privacy or includes, copies or transmits another’s confidential, sensitive or personal information; (c) promotes bigotry, racism, hatred or harm against any group or individual; (d) is obscene or not in good taste; (e) violates, infringes or promotes the violation or infringement of another’s rights, including intellectual property rights; (f) violates or promotes the violation of any applicable laws or regulations; (g) contains a solicitation of funds, goods or services, or promotes or advertises goods or services; or (h) contains any viruses, Trojan horses, or other components designed to limit or harm the functionality of a computer. The Academy may report you to the relevant authorities and may act under the fullest extent of applicable laws if you transmit or upload content intended or designed to cause harm. 

9. Security, Passwords and Means of Accessing HPass 

You agree not to access or use the Platform in any manner that could damage, disable, overburden, or impair any Academy accounts, computer systems or networks. You agree not to attempt to gain unauthorized access to any parts of HPass or any Academy accounts, computer systems or networks. You agree not to interfere, or attempt to interfere, with the proper working of HPass or any of the Academy accounts, computer systems or networks. You agree not to use any robot, spider, scraper or other automated means to access HPass or any of the Academy accounts, computer systems or networks without the Academy’s express written permission. 

You must complete the registration process to open an account by providing us with current, complete, and accurate information, as required by the applicable registration form. You may also be required to choose a password and a user name. Access to, and use of, password protected or secure areas of the Platform are restricted to authorized users only. Except as otherwise permitted by these Terms of Use, You agree not to share your password(s), account information, or access to the Platform with any other person. You are responsible for maintaining the confidentiality of password(s) and account information, and you are responsible for all activities that occur through the use of your password(s) or account(s), or as a result of your access to the Platform. You agree to notify the Academy immediately of any use of your password(s) or account(s) that you did not authorize or that is not authorised by these Terms of Use. 

10. HUMANITARIAN ORGANISATIONS 

11. Use of Platform 

The purpose of this web Platform with regard to Humanitarian Organisations, is to enable Humanitarian Organisations to effectively engage with Users and Providers such that all participants can effectively manage skills, availability, and other resources necessary to provide effective humanitarian action around the world. 

To enable this purpose, Humanitarian Organisations may access information about competency-based approaches and publish information and conduct searches (“Humanitarian Organisation Submissions”) in order to identify resources with skills, availability, and other criteria necessary to provide humanitarian aid around the world. 

Use of HPass does not create an employment relationship between any person and any Humanitarian Organisation. 

Users who use the Platform on behalf of an Humanitarian Organisation shall be solely the employees or agents of the Humanitarian Organisation and shall be under the sole and exclusive direction and control of such Humanitarian Organisation. The Humanitarian Organisation shall be responsible for compliance with all laws, rules and regulations involving its respective employees or agents, including (but not limited to) employment of labor, hours of labour, health and safety, working conditions and payment of wages. 

All Humanitarian Organisation Users that wish to create and issue badges via the Platform are expected to read and comply with the Terms of Use required by the Platform provider, Discendum, which are set out here: https://openbadgefactory.com/?open=modal-terms and may be subject to amendment from time to time. 

12. Electronic Signatures 

By using the Platform and providing Submissions on behalf of an Humanitarian Organisation, you warrant that the Humanitarian Organisation for whom you are providing Submissions has agreed to transact and sign instruments electronically through the Platform. You warrant that the Humanitarian Organisation agrees that their electronic signature is the legal equivalent of their manual signature. You further warrant that the Humanitarian Organisation agrees that the use of a key pad, mouse, or other device to select an item, button, icon, or similar act/action, constitutes the Candidate’s signature as if signed by them in writing. You also warrant that no certification authority or other third-party verification is necessary to validate an electronic signature, and that the lack of such certification or third-party verification will not in any way affect the enforceability of the electronic signature. 

13. Submissions 

You agree that all Humanitarian Organisation Submissions provided to HPass will be Humanitarian Organisation Submissions that you have the right and authority to disclose. By making Submissions, you warrant that the applicable Humanitarian Organisation accepts these Terms. 

You warrant that: (a) you have the right and authority to provide any Humanitarian Organisation Submissions; (b) you have only disclosed information that is true, accurate and not misleading (including by omission) and nothing you have submitted is known by you to be false, inaccurate, or misleading; and (c) your Humanitarian Organisation Submissions or any offer of employment that may result from Humanitarian Organisation Submissions would not infringe any legal obligation that the Humanitarian Organisation may have to any third party, including under laws related to copyright, trademark, patent, trade secret, confidentiality, notice period, restrictive covenant, non-competition or other intellectual property rights, privacy rights, or any other legal or moral rights of any third party. 

You agree that you will neither use the Platform in a manner, nor provide any Humanitarian Organisation Submission, that: (a) is defamatory, derogatory, degrading or harassing of another or constitutes a personal attack; (b) invades another’s privacy or includes, copies or transmits another’s confidential, sensitive or personal information; (c) promotes bigotry, racism, hatred or harm against any group or individual; (d) is obscene or not in good taste; (e) violates, infringes or promotes the violation or infringement of another’s rights, including intellectual property rights; (f) violates or promotes the violation of any applicable laws or regulations; or (g) contains any viruses, Trojan horses, or other components designed to limit or harm the functionality of a computer. You agree not to access or use the Platform in any manner that could damage, disable, overburden, or impair any Academy accounts, computer systems or networks. You agree not to attempt to gain unauthorized access to any parts of HPass or any Academy accounts, computer systems or networks. You agree not to interfere, or attempt to interfere, with the proper working of HPass or any of the Academy accounts, computer systems or networks. You agree not to use any robot, spider, scraper, or other automated means to access HPass or any of the Academy accounts, computer systems or networks without the Academy’s express written permission. 

Access to and use of password protected or secured areas of the Platform are restricted to authorized users only. You warrant and agree that the Humanitarian Organisation has authorized you to use their password to provide Humanitarian Organisation Submissions to the Platform; and you agree and warrant that you will only use such password(s) for purposes of providing such Humanitarian Organisation Submissions. You are responsible for maintaining the confidentiality of password(s) and account information, and you are responsible for all activities that occur through the use of any password(s) or account(s), or as a result of your access to the Platform. You agree to notify the Academy immediately of any use of password(s) or account(s) that the Humanitarian Organisation did not authorise or that is not authorised by these Terms of Use. 

15. PROVIDERS 

16. Use of Platform 

The purpose of this Platform is to enable Providers to effectively engage with Users and Humanitarian Organisations such that all participants can effectively manage skills, availability, and other resources necessary to provide effective humanitarian action around the world. 

To enable this purpose, Providers may create and issue badges and publish information (“Provider Submissions”) in order to promote their learning or assessment services. Users who use the Platform on behalf of a Provider shall be solely the employees or agents of the Provider and shall be under the sole and exclusive direction and control of such Provider. The Provider shall be responsible for compliance with all laws, rules, and regulations involving its respective employees or agents, including (but not limited to) trademark, copyright, deceptive or unfair trade, or laws, rules, and regulations related to the credentialing of an individual’s education, skills, or related capabilities. 

All Provider Users that wish to create and issue badges via the Platform are expected to read and comply with the Terms of Use required by the Platform provider, Discendum, which are set out here: https://openbadgefactory.com/?open=modal-terms and may be subject to amendment from time to time. 

17. Electronic Signatures 

By using the Platform and providing Provider Submissions on behalf of a Provider, you warrant that the Provider for whom you are providing Provider Submissions has agreed to transact and sign instruments electronically through the Platform. You warrant that the Provider agrees that their electronic signature is the legal equivalent of their manual signature. You further warrant that the Provider agrees that the use of a key pad, mouse, or other device to select an item, button, icon, or similar act/action, constitutes the Provider’s signature as if signed by them in writing. You also warrant that no certification authority or other third-party verification is necessary to validate an electronic signature, and that the lack of such certification or third-party verification will not in any way affect the enforceability of the electronic signature. 

18. Submissions 

You agree that all Provider Submissions provided to HPass will be Provider Submissions that you have the right and authority to disclose. By making Provider Submissions, you warrant that the Provider accepts these Terms. 

You warrant that: (a) you have the right and authority to provide any Provider Submissions; (b) you have only disclosed information that is true, accurate and not misleading (including by omission) and nothing you have submitted is known by you to be false, inaccurate, or misleading; and (c) your Provider Submissions or any offer of employment that may result from your Provider Submissions would not infringe any legal obligation that the Provider may have to any third party, including under laws related to copyright, trademark, patent, trade secret, confidentiality, notice period, restrictive covenant, non-competition or other intellectual property rights, privacy rights, or any other legal or moral rights of any third party. 

You agree that you will neither use the Platform in a manner, nor provide any Badging Submission, that: (a) is defamatory, derogatory, degrading or harassing of another or constitutes a personal attack; (b) invades another’s privacy or includes, copies or transmits another’s confidential, sensitive or personal information; (c) promotes bigotry, racism, hatred or harm against any group or individual; (d) is obscene or not in good taste; (e) violates, infringes or promotes the violation or infringement of another’s rights, including intellectual property rights; (f) violates or promotes the violation of any applicable laws or regulations; or (g) contains any viruses, Trojan horses, or other components designed to limit or harm the functionality of a computer. The Academy may report you to the relevant authorities and may act under the fullest extent of applicable laws if you transmit or upload content intended or designed to cause harm.

Access to and use of password protected or secured areas of the Platform are restricted to authorized users only. You warrant and agree that the Provider has authorised you to use their password to provide Provider Submissions to the Platform; and you agree and warrant that you will only use such password(s) for purposes of providing such Provider Submissions. You are responsible for maintaining the confidentiality of password(s) and account information, and you are responsible for all activities that occur through the use of any password(s) or account(s), or as a result of your access to the Platform. You agree to notify the Academy immediately of any use of password(s) or account(s) that the Provider did not authorise or that is not authorised by these Terms of Use. 

20. Quality Requirements 

HPass allows Providers to create and issue badges that are automatically included in HPass for storage and display by badge earners, subject to any separate agreement between HPass and the Provider, or any relevant guidelines published on the Platform. 

HPass has established international quality standards for learning and assessment respectively. Learning and assessment providers are defined by the standards as “organisations, companies, departments and institutes providing learning or assessment services”. 

These standards are as follows: 

(the “HPass Quality Standard(s)”) 

A Provider will only be entitled to Use the Platform if it conforms to the HPass Quality Standard(s) and/or another recognised standard. 

By Using the Platform, each Provider acknowledges that they have read the relevant HPass Quality Standard(s) and agrees to: (a) observe the relevant HPass Quality Standard(s) in the ordinary course of business in designing and delivering learning and/or assessment services, and (b) develop criteria required for the issuance of badges based on the HPass Quality Standard(s). The Provider further acknowledges that they may be excluded from using the Platform if, at the sole discretion of HPass, if the Academy becomes aware that the Provider is not observing the relevant HPass Quality Standard(s) and/or the is not issuing badges in compliance with the standard(s). 

Providers also acknowledge that HPass recognises additional established national and international standards for credentialing, learning, and assessment, including, but not limited to, ISO 17024 General Requirements for Bodies Operating Certification of Persons, the ASTM International E2659 Standard Practice for Certificate Programs, and the American National Commission for Certifying Agencies Standards for the Accreditation of Certification Programs (NCCA Standards). A Provider will be entitled to Use the Platform if it issues badges based on these standards. They further acknowledge that the list of recognised standards may change at the sole discretion of HPass. 

Providers further acknowledge and agree that in circumstances where a Provider demonstrates, via a quality assurance process recognised by HPass, its adherence to the HPass Quality Standard(s) such a Provider will be entitled to Use the Platform as an “Approved Provider”. 

The profile of, and any badges created and issued by, an Approved Provider may be prioritized in terms of visibility, order in search results, or other criteria in the sole discretion of HPass. 

21. Indemnity 

By using HPass, Providers agree to indemnify the Academy for any claim brought that the Provider’s use of HPass, or the badge provided by the Provider, violates any law, rule, regulation, or these Terms with regard to the badges such Provider issues. 

22. PLATFORM TERMS FOR ALL USERS 

23. Linking to the Web Platform and Social Media Features 

You may link to the Platform, provided you do so in a way that is fair and legal and does not damage HPass’ reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval, or endorsement on our part without our express consent. 

The Platform may provide certain social media features that enable you to: link from your own or certain third-party web Platforms to certain content on this Platform; send e-mails or other communications with certain content, or links to certain content, on this Platform; or cause limited portions of content on this Platform to be displayed or appear to be displayed on your own or certain third-party web Platforms. 

You may use these features solely as they are provided by us, and solely with respect to the content such features display, and otherwise in accordance with any additional terms and conditions we provide with respect to such features. 

Subject to the foregoing, you must not: cause the Platform or portions of it to be displayed, or appear to be displayed by, for example, framing, deep linking or in-line linking, on any other Platform; or otherwise take any action with respect to the materials on this Platform that is inconsistent with any other provision of these Terms. 

You agree to cooperate with the Academy in causing any unauthorized framing or linking immediately to cease. We reserve the right to withdraw linking permission without notice. 

We may disable all or any social media features and any links at any time without notice in our discretion. 

24. Third Party Web Platforms, Content, Products, and Services 

The Platform provides links to Web sites, platforms and access to content, products, and services of third parties, including users, advertisers, affiliates, and sponsors of HPass and the Academy more generally. The Academy is not responsible for third party content provided on, or through the Platform, or for any changes or updates to such third-party Platforms, and you bear all risks associated with the access to, and use of, such Web Platforms and third-party content, products, and services. 

25. Copyright 

All material, except for Submissions, on the Platform is the copyright of the Academy or third parties. Ownership of User Submissions, Humanitarian Organisation Submissions, and Provider Submissions remains solely that of the party providing the Submission to the Platform; and the Academy shall have no liability with regard to any User Submission, Humanitarian Organisation Submission, or Provider Submission. You may view the content of this Platform on screen. You may not copy, reproduce, republish, download, post, broadcast, transmit or otherwise use the Platform’s content in any way except for non-commercial, personal, or educational use, and then only if you do not remove or modify any trademark, copyright, or other notice displayed as part of the content. You also agree not to adapt, alter or create a derivative work from any of the Platform’s content except for non-commercial, personal or educational use, and then only if you do not remove or modify any trademark, copyright, or other notice displayed as part of the content. Any other use of the Platform’s content requires the prior written permission of the Academy. 

The names, images and logos identifying the Academy or any other third parties referred to on the Platform and their products and services may be subject to copyright, design rights or trade mark rights. These trademarks may not be reproduced without the consent of the relevant owners. Nothing contained in these Terms shall be construed as conferring any licence or right to use any trademark, design right or copyright of the Academy or any other third party. 

The Academy reserves all rights not expressly granted in accordance with these Terms. 

26. Reservation of Rights 

HPass and content provided on or through HPass are the intellectual property and copyrighted works of the Academy or a third- party provider. All rights, title and interest not expressly granted with respect to HPass and content provided on or through HPass are reserved. All content is provided on an “As Is” and “As Available” basis, and the Academy reserves the right to terminate the permissions granted to you at any time. 

27. Indemnity 

You agree to indemnify and hold harmless the Academy, its officers, directors, employees, and agents from and against any and all third-party claims, liabilities, damages, losses or expenses, including reasonable legal fees and costs, due to, or arising out of, any Use of the Platform (including, but not limited to, any Submission you make to the Platform or any badges created or issued via the Platform), your violation of these Terms of Use, or your violation or infringement of any third party rights, including intellectual property rights. 

28. Monitoring 

The Academy has no obligation to monitor the Platform. However, the Academy reserves the right to review the Platform and content and to monitor all use of and activity on the Platform, and to remove or choose not to make available on or through the Platform, any content (including your Submissions) in its sole discretion. The Academy may remove content that is confidential or proprietary to you, or a third party, without permission from you or the third party. 

29. Termination of Use 

The Academy may, in its sole discretion, at any time discontinue providing or limit access to HPass, in whole or in part. You agree that the Academy may, in its sole discretion, at any time, terminate or limit your access to, or use of, HPass in whole or in part. The Academy may terminate or limit your access to, or use of, HPass, if the Academy determines, in its sole discretion, that you have infringed the copyrights or other legal rights of a third party, or otherwise materially violated these Terms of Use. You agree that the Academy will not be liable to you or any third-party for any termination or limitation of your access to, or use of, HPass. 

30. Disclaimer 

Except where expressly provided otherwise, HPass is provided on an “as is” and “as available” basis. 

The Academy expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement with respect to HPass and all content provided on, or through HPass. 

The Academy makes no warranty that: (a) HPass or any content provided via HPass will meet your requirements; (b) HPass will be available on an uninterrupted, timely, secure, or error free basis; (c) the results that may be obtained from the use of HPass, or any content provided on or through HPass, will be accurate or reliable; (d) any content obtained by you on or through HPass will meet your expectations; (e) any Individual is recommended for any specific employment, deployment, project, or volunteering opportunity; any Humanitarian Organisation is promoted as an effective provider of humanitarian action; and/or any Provider (including an Approved Provider) is endorsed as a quality supplier of learning or assessment services. 

The Academy will have no responsibility for any damage to your computer system or loss of data that results from the use of HPass. 

31. Limitation of Liability 

In no event will the Academy or its officers, directors, employees, or agents be liable for any direct, indirect, incidental, special, or consequential damages; or damages for lost profits, revenue, data, or data use, incurred by you or any third party, whether in an action in contract, or tort (including negligence), breach of statutory duty, strict liability, or otherwise, arising from your access to, or use of, HPass or any content provided on or through HPass. 

32. Exclusions and Limitations 

Some jurisdictions do not allow the disclaimer or exclusion of certain warranties of the disclaimer, exclusion, or limitation of certain liabilities. To the extent that they are held to be legally invalid, disclaimers, exclusions, and limitations set out in these Terms of Use, including those set out in sections related to Disclaimers and Limitations of Liability, do not apply and all other terms will remain in full force and effect. 

33. Persons Not of Age of Majority 

Persons who are not 18 years of age are not eligible to use HPass, and no information in relation to such persons should be included in any Submission. 

34. Waiver and Severability 

The failure of the Academy to exercise or enforce any rights or provisions in these Terms of Use will not constitute a waiver of such right or provision. If any part or provision of these Terms of Use is found to be unenforceable, such part or provision may be modified to make the Terms of Use as modified, legal, and enforceable. The rest of the Terms of Use will not be affected. 

35. Changes and conflicts 

If there is any conflict between these Terms and any rules and/or specific terms and conditions of use appearing on linked platforms or specific sections of HPass, then the latter shall prevail. 
These Terms constitute the sole and entire agreement between you and the Academy with respect to the Platform; and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Platform. 

The Academy reserves the right to change these Terms at any time by posting changes online. Your continued use of the Platform after any changes are posted means you agree to be legally bound by these Terms as updated or amended. 

36. Applicable Laws 

All matters relating to your access to, and use of, the Platform and content provided on or through HPass, will be governed by the laws of England and Wales. Any legal action or proceeding relating to your access to, or use of, the Platform or content, shall be instituted in the courts of England and Wales. You and the Academy agree to submit to the jurisdiction of, and agree that venue is proper in, these courts in any such legal action or proceeding.
